Megan counsels emerging and established companies on intellectual property transactions, particularly technology and media-related agreements. She works with clients who are acquiring and licensing technology for their core business activities, including large-scale software, services, and telecommunications procurement initiatives.
Megan assists clients with business development and partnering programs, as well as co-marketing, affiliate licensing, joint venture and co-branding arrangements. She represents clients in connection with software development and licensing, strategic alliances, software-as-a-service agreements, application service provider agreements, vendor contracts, outsourcing, software and hardware reseller agreements, implementation services, and marketing agreements.
Before joining LMB, Megan was Vice President of Legal & Business Operations for Atomic Moguls, a Seattle-based online sports and entertainment company, in which role she drafted, negotiated, and managed all the company’s legal matters associated with their intellectual property, venture capital and human resources needs. As an associate in the Seattle office of Preston Gates & Ellis’ (now K&L Gates’) Technology & Intellectual Property department, Megan’s practice included drafting and negotiating software and other content licenses (EULAs, program agreements, escrow, etc.), NDAs, independent contractor agreements, service agreements, and related transactional work, as well as trademark and copyright counseling.
Prior to law school, Megan worked as the senior in-house paralegal for Starwave Corporation, an early Internet start-up, where she assisted with content licensing, joint development agreements, and the company’s corporate governance.
She graduated in 2002 from the University of Washington Law School with a concentration in Intellectual property and is a member of the Washington State Bar.
